Mergers, acquisitions, and partnering have long been strategic vehicles to grow or change an existing organization. Corporate America has extensive experience in merging with or acquiring firms. However, its track record of being able to unify an acquired firm with the acquirer and provide a single organization with increased growth potential has been somewhat shaky. This session provides a roadmap including specification actions for financial professionals focused on improving the results of an acquisition, sale, formation of an alliance, and/or outsourced activities. This program continues to be updated based upon trends and recent events. In addition to traditional topics, it includes discussions on the impact of the new tax regulations, corporate structures to manage M&A and internal venture capital, strategic spin-offs/splits, issues concerning goodwill, and managing outsourced activities. The program expands the topics covered in the Controllership Skills Update Series. As with the other programs, this brief session is aimed at renewing and expanding participants’ existing skills, by providing specific actions to improve an organization’s results. Real-world examples are used throughout the session.


  • Recent trends: M&A activity; contributing factors/reasons for record levels; examples of recent transactions; recent changes to U.S. taxes; inversions; strategic spin-offs/splits; internal venture capital activities; incubators
  • Expanded role of financial professionals: establishing strategy; valuation techniques; execution plan; due diligence; sources of industry information; goodwill; post-completion evaluations
  • Negotiations: Improving your communication skills; establishing an environment for success; list of dos and don’ts
  • Alliances and outsourcing: steps to forming an alliance; examples of recent alliances; determining if outsourcing (short and long-term) is correct for your organization; steps to improve results


Anthony C. LaRusso, BA, MBA, CMA
Naples, FL

Tony has over 30 years of experience in industrial and service organizations. During his career he has held senior level management, operating and staff positions, including as President of companies with annual sales of $500 million, consisting of domestic and international facilities. Tony has also held senior level positions in finance, planning and business development, as well as being a Board member in start-up companies. Prior to retiring, during 2003, he was the President of a major division in an international company.

Tony had been an Adjunct Professor of Management for 20 years and has written numerous articles on a variety of business topics. He is a member of several professional organizations, has spoken at Annual Meetings, programs at universities and served as an officer in trade associations. Tony also has had two books published:  Management: Ready Aim Fire (2005) and Practical Financial Decision Making (2011). His biography is included in several publications by Who’s Who.

In addition, since retiring from full-time employment, he has lectured in 35 states including at major corporations, conducted consulting activities and managed real estate investments for a family company. Tony has developed and written courses for the American Institute of CPAs (AICPA), was a reviewer for a new book and authored an article How to Avoid Tunnel Vision.
